Draft for legal review. This page has not yet been reviewed by a lawyer.

These terms govern your use of andadvisors.in and set out the general basis on which And Advisors (“And Advisors”) provides services. Each client engagement is also governed by a written engagement letter. If the engagement letter and these terms conflict, the engagement letter prevails.

Use of this website

You may use this website to learn about our services and contact us. You agree not to misuse it, attempt to gain unauthorised access to it, or submit false, misleading or unlawful information through its forms.

Content on this website is general information. It is not professional advice and does not create an adviser-client relationship. See our disclaimer.

How engagements are formed

An engagement begins only when both parties sign an engagement letter or accept a written proposal. The engagement letter sets out the scope, deliverables, timelines, responsibilities, fees and term. Work outside that scope is quoted separately and starts only with your approval.

Nature of our services

We provide management reporting, financial planning and analysis, accounting oversight and support, compliance coordination and business advisory services. We distinguish clearly between:

  • Bookkeeping and accounting support: recording, reconciling and preparing financial information from data you provide.
  • Management reporting and analysis: reports, dashboards, budgets, forecasts and models for internal decision-making. These are not audited or certified.
  • Advisory: analysis and recommendations. Decisions, and responsibility for them, remain with you.
  • Regulated professional services: statutory audit, attestation, certification, tax filings, representation before authorities and legal advice. We do not provide these unless they are expressly included in an engagement letter and performed by a professional who is legally eligible to provide them.

Your responsibilities

  • Provide complete, accurate and timely information and access to records and people we reasonably need.
  • Tell us promptly about changes that affect the work.
  • Maintain your own books of account, statutory records and internal controls, unless the engagement letter states otherwise.
  • Make your own business, financial, tax and investment decisions. Our reports and recommendations support those decisions but do not replace your judgement.

Fees and payment

  • Fees are as set out in the proposal or engagement letter and are exclusive of GST, which is charged at the applicable rate.
  • Retainer fees are invoiced monthly in advance unless agreed otherwise; project fees are invoiced on agreed milestones.
  • Invoices are payable within the period stated on the invoice or in the engagement letter.
  • We may pause work if invoices remain unpaid beyond the agreed period, after giving you notice.

Timelines

Delivery timelines depend on receiving complete information from you. Where data arrives late or incomplete, timelines move accordingly and we will tell you the revised date.

Confidentiality

We keep your information confidential and use it only to deliver the engagement, except where disclosure is required by law or you have agreed to it. People who assist us on an engagement are bound by equivalent confidentiality obligations.

Intellectual property

Website content, report templates and models are our intellectual property. On payment of the relevant fees, you may use deliverables prepared for you for your internal business purposes and share them with your lenders, investors and advisers. Our general methods, templates and know-how remain ours.

Limitation of liability

To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid for the specific services giving rise to the claim in the twelve months before the claim. We are not liable for indirect or consequential loss, loss of profit, or loss arising from inaccurate or incomplete information provided to us. Nothing in these terms limits liability that cannot be limited by law.

Termination

Either party may end a retainer by giving the notice set out in the engagement letter. Fees for work done up to the end of the notice period remain payable.

Third-party links and tools

This website may link to other sites or use third-party services such as scheduling or messaging tools. We are not responsible for their content or practices.

Governing law

These terms are governed by the laws of India. Courts in Mumbai, Maharashtra have exclusive jurisdiction, subject to any dispute resolution clause in your engagement letter.
